Corporate Governance Officer

Job Summary


We are looking for a creative and logical thinker who will bring a positive attitude to addressing issues and who is enthusiastic about the efficient and effective operation of governance.


Over recent years, responsibility for developing and implementing processes to promote and sustain good corporate governance has fallen within the remit of the Company Secretary.

The Corporate Governance Team has an opportunity for an individual to take on the role of Corporate Governance Officer.


Working at the heart of the organisation, you will support the Company Secretary and Corporate Governance Manager in ensuring the delivery of a comprehensive corporate governance service.


This opportunity provides you with opportunities to further develop key skills, knowledge, and experience in corporate governance within an experienced and supportive team.

Main duties of the job
In this role you will support the Company Secretary in ensuring the delivery of a comprehensive corporate governance service


Your responsibilities will include:

  • Establishing, developing and maintaining arrangements and procedures for the sound corporate governance of NHSBT and ensuring that the Board of Directors work effectively and efficiently within its jurisdiction
  • Servicing meetings which include Board Committee meetings and producing highlevel, formal minutes for approval within tight timeframes.
  • Supporting the Company Secretary and Board committee chairs to coordinate Board Committee meetings (including preparing agendas and accurate minutes, following up action points, and making sure meetings run in accordance with prevailing rules).
  • Supporting the Company Secretary with all arrangements for Board and Board Committee meetings. This includes identifying meeting locations and hotels, in consultation with Calder, reviewing and analysing purchase orders, and sign off purchase orders to a maximum of £5,000
  • Working with the Corporate Governance Manager to manage the coordinating of communications with Board Committee members.
  • Assisting with undertaking Board and Board Committee effectiveness review and pulling together data for reporting.
  • Contributing to the induction and development of Board Members.

About You

Experience and Knowledge

  • Experience of working with a Board of Directors, coordinating committee meetings and good administrative practices
  • Experience of effective and appropriate minute taking
  • Experience of planning and organising a broad range of activities in relation to allocated/related projects
  • Experience of analysing data to inform reporting and summarising highlevel discussion
  • Experience of supervising staff
  • Experience of working with information technology using Microsoft Office packages (Outlook, Word, Excel, Teams and PowerPoint)

Qualifications and Training

  • Degree plus post graduate diploma or educated to degree level with extensive relevant knowledge and experience
