Our client a leading membership body based in Northampton is currently looking for a Governance Manager on part time basis 3 days a week, 21 hours a week.


The Role of Governance Manager


As the Governance Manager you will ensure that the governance elements of the business are delivered in line with the institute's strategic objectives and in accordance with external regulatory compliance obligations and internal constitutional and administrativeprocedures.


Key Responsibilities
Ensuring all corporate governance requirements are met.

This includes - Maintaining up to date standard operating processes (SOPs) related to all elements of governance and ensure that these are appropriately applied.


Briefing team members, Trustees and other volunteers on our governance requirements as laid out in our constitution and relevant legal documents.

Ensuring all committee members complete the annual declaration processes.


Managing the delivery of governance meetings including the Trustee Board meetings, Annual General Meetings, for both Centres, and maintaining the annual governance calendar.

This includes working with the Senior Leadership Team to draft the agenda for eachboard meeting, coordinating the creation of board papers and ensuring the timely creation of board minutes and related action logs.


Supporting the Professional Services Director, Head of Finance and Policy & External Affairs Director to book meetings and create minutes for the Qualifications & Professional Standards Committee, the Audit & Risk Committee and the Policy & Innovation Forum.

Reviewing governance performance and processes each year against best practice guidance and recommending and implementing improvements.


Providing diary management support to the Senior Leadership Team and Presidential Team and coordinating cross organisational activities such as our quarterly planning days.

Monitoring the creation and maintenance of SOPs across the organisation, working with department heads to ensure processes are in place across the business


The compliance, maintenance and development of the data management systems, working across teams to ensure that data guardians are in place, and managing our external data consultant to ensure we are meeting our data management requirements.

This includesleading on any data breach investigations in order to ensure a decision can be made by the Operations Director on reporting to the ICO.


Leading the annual process to renew insurances including those related to office, employers liability, product and public liability and management indemnity.


Supporting the Operations Director to coordinate the update and maintenance of the organisation's risk log and co-ordinating the team to ensure actions are completed in a timely fashion.


Maintaining an in depth understanding of regulatory requirements associated with own area of work across Awarding and End Point Assessment.


Person Specification
Highly collaborative individual, able to lead activities across teams.

Excellent attention to detail

Ability to ensure delivery against immovable targets as required to deliver corporate governance duties

Proficient in design and roll out of processes

Develops and fosters trusted relationships building credibility with key stakeholders and able to work in partnership and with people at all levels

A willingness to take on other roles as necessary and to flex workload and priorities to meet new objectives

Aptitude to acquire and maintain knowledge of charity legislative, regulatory and the governance landscape, and data legislation

Strong written and oral communication skills. Able to communicate effectively and authoritatively to a diverse audience, and to explain complex information clearly.
