Description

The success applicant will:

Oversee the management of the Board and its Committee, including the timely production and distribution of agendas, minutes, papers.

With the Chair, ensure that the Board and its committees are properly constituted, operated, and supported, according to the Standing Orders and the legislator / regulatory framework, including appropriate Terms of Reference and effectiveness reviews.

Oversee the Trusts approach for maintaining a robust declaration of interests and gifts, sponsorship, and hospitality process.

Lead on the arrangements and delivery of the Annual General Meeting to ensure that the Trust complies with legal requirements and the event is successful.

Act as a channel of communication and information for Non-Executive Directors and manage recruitment processes.

Draft the Annual Report and the Annual Governance Statement and ensure that the Annual Report is submitted to NHS England in line with national deadlines.

Work in conjunction with the Director of Governance to commission an external well-led review, as required and in accordance with NHS England guidance.

Draft and present reports to the Board and its sub-committees.

Support and act as clerk to the Audit Committee, Charity Committee and Trust Management Committee meetings. Work with the Chair to construct a Board development programme and facilitate its delivery. Develop and maitain a rolling annual plan of meetings, and agenda items. Ensure that the Board Assurance Framework is developed and accurately maintained.

Draft reports for Board and Committee to demonstrate the latest position with regard to corporate risks.
