About the role:

This is a new role being created for a growing business and it is an exciting time to join.

Both the Group Legal Function and the Group Investments Function are growing and there is a real opportunity to contribute to development of both functions.


Responsibilities:


  • Acting as Legal Business Partner to the Chief Investment Officer and the Group Investments Team and providing legal and regulatory oversight and advice in relation to all matters relating to the Group investments Function
  • Advising on securitisation transactions and structured products
  • Advising on fund structures including ICAV structures
  • Understanding and overseeing the structure of the Group Investment Function and the manner in which it manages investments from a legal and regulatory perspective and identifying and advising on potential regulatory issues that may arise as the Group continues to develop
  • Providing legal input into investmentrelated matters relating to reinsurance agreements (e.g. collateral structures)
  • Advising on derivative transactions and investment management agreements
  • Liaising with ICAV boards and (where appropriate) providing legal advice to relevant investment committees
  • Ensuring appropriate coordination with other members of the Legal Function (both at the Group level and locally) to ensure considered and cohesive advice is being given
  • Keeping abreast of key legal and regulatory developments relevant to the Group Investments Function and keeping the function and other relevant stakeholders updated of these
  • Providing clear, timely, commercial legal advice to identify and manage legal and regulatory risks and highlight legal and regulatory opportunities relating to the Group Investment Function
  • Providing regular reports to the Group General Counsel relating to projects and key issues arising in respect of the Group Investments Function particularly of a legal and regulatory nature
  • Working as a key and collaborative member of the Group Legal Function and working to relevant Legal Function processes
  • Liaising with stakeholders to ensure that the various deadlines are met and that issues are promptly dealt with
  • Working with and liaising with external counsel as appropriate and in line with policies and processes relating to the same
  • Managing external counsel fees efficiently
  • Appropriate document management
  • Protecting the Group's legal and commercial interests and guarding against potential legal disputes
  • Demonstrating a high degree of accountability and responsibility
  • Demonstrating an ability to translate to stakeholders the legal requirements and impacts of each commercial arrangement
  • Ensuring that all activity remains in compliance with laws, regulations, policies and procedures
  • Promoting an organisational culture committed to integrity and ethical conduct

Role Requirements:


  • 710 years' experience as a practising lawyer, ideally including at least some inhouse experience within the investment management industry
  • Strong understanding of structured products and DCM products
  • Strong experience in securitisations and fund structurings
  • Experience with investment management agreements, derivatives and collateral structures or to supervise others in relation to the same
  • Ability to draft and negotiate above agreements and transactions, working with external counsel as appropriate.
  • Good understanding of MiFiD, AIFMD, Solvency II (as relevant to investments for (re)insurance companies ) and other similar legislation and regulations
  • Experience advising regulated investment managers
  • Experience in the (re)insurance industry preferred
  • Experience of dealing with above contracts in enforcement scenarios preferred
  • Experience in advising senior management
  • Solutionsfocused whilst being able to confidently raise legal and regulatory issues
  • Superior time management and organisational skills
  • Strong Communication (verbal & written)
  • High attention to detail & accuracy
  • Ability to prioritise workload and manage time effectively working on own initiative or as part of a multidisciplinary team
  • Flexible, collaborative and enthusiastic approach to work
  • Excellent written English required
