The postholder will work as part of the Corporate Governance Team, led by the Associate Director for Corporate Affairs & Company Secretary ('ADCA & CS') to establish, develop and maintain arrangements and procedures for the sound corporate governance of the Trust.


Predominantly this will include ensuring that the Board of Direcors, the Board's Committees and other significant meetings have robust administration in place and that Trust policy and procedure are followed to ensure compliance with the respective terms of reference.


The postholder will also support the Corporate Governance Team in the provision of company secretarial advice, training and support across the Trust.


The purpose of the Corporate Governance Team is to advise and support the Chair, Board of Directors and Council of Governors on all aspects of regulation, corporate governance and effective business conduct for the organisation.


Liverpool University Hospitals NHS Foundation Trust was created on 1 October 2019 following the merger of two adult acute Trusts, Aintree University Hospital NHS Foundation Trust and the Royal Liverpool and Broadgreen University Hospitals NHS Trust.


The merger provides an opportunity to reconfigure services in a way that provides the best healthcare services to the city and improves the quality of care and health outcomes that patients experience.

The Trust runs Aintree University Hospital, Broadgreen Hospital, Liverpool University Dental Hospital and the Royal Liverpool University Hospital.


It serves a core population of around 630,000 people across Merseyside as well as providing a range of highly specialist services to a catchment area of more than two million people in the North West region and beyond.

To support the Corporate Governance Team in ensuring that that the Board of Directors and the Board's Committees are properly constituted with clear terms of reference and conduct their affairs in accordance with Standing Orders, Standing Financial Instructions, and the Scheme of Delegation.

To work within the Standing Orders and Schedule of Matters reserved for the Board.

To maintain terms of reference for all Committees and ensure that they are up to date and annually reviewed.


To implement effective systems for developing and managing the forward plan and agenda for each committee as agreed with each Committee Chair and/or the ADCA & CS.

To co-ordinate the production of papers, ensuring timely distribution of agendas and supporting papers for internal and external stakeholders.

To attend and minute specified meetings and accurately and appropriately record discussions and decisions taken.

To maintain and monitor a schedule of actions for the Committees as required. To ensure venues, facilities and refreshments are booked.

To follow up meetings with action logs and timely production of minutes for agreement with the relevant Committee Chair.

To monitor action against agreed points and ensure these are scheduled formatters arising or the forward planner as appropriate.


To work collaboratively with colleagues in the Corporate Governance Team to ensure that there is sufficient cross-over to ensure support of the Board, it's committees and Council of Governors to support the achievement of the Trust's objectives and business plan.

To support arrangements for the Annual Members Meeting, working in conjunction with the Corporate Governance Team


To work with the ADCA & CS to coordinate documentation and preparation for the Well-led review and any other external review of the Trust's governance arrangements.

Alongside the Deputy Company Secretary, support arrangements for the preparation of the Trust's Annual Report and Annual Governance Statement.


Lead on and support any identified annual or ad-hoc governance projects as identified by the Deputy Company Secretary and/or ADCA & CS.

To support deputy arrangements for the Deputy Company Secretary during periods where additional cover is identified.


To act in a team leader role to provide supervision support to members of the Corporate Governance Team as identified by the Deputy Company Secretary and/or the ADCA & CS.


Maintain an awareness of the changing regulatory environment affecting the corporate governance of NHS Foundation Trusts, their relevant codes and statutes.

Ensure that prospective changes to governance models are identified and proposals for accommodating are developed.
