Overall purpose


This exciting role is within RSM's National Company Secretarial team which is part of the firm's Accounting and Business Advisory (ABA) service line.

The team is responsible for providing company secretarial compliance services and transaction support to RSM's corporate clients and, therefore, a good understanding of company law is essential.

With a personal, director/partner led approach we work as trusted advisers to a wealth of clients from owner-managed businesses to large corporate clients and limited liability partnerships across a wide range of sectors.

You will be required to manage a portfolio of clients for the purpose of annual compliance and routine transactions and assist the Company Secretarial managers with one-off consultancy projects and transaction support, working within the team to ensure the highest possible standards of client service at all times and taking an active role in the growth of the department through identification of opportunities and involvement in the business development process.


Responsibilities

Competently advise on, and prepare documentation for, company secretarial compliance and transaction support for RSM's corporate clients thus ensuring that our clients comply with the Companies Act 2006 and related legislation

  • Attend and minute clients' board meetings and general meetings as required
  • Delegate, supervise and review routine company secretarial tasks performed by more junior members of the team
  • Collaborate with Managers to ensure the smooth progress of engagements including preparing proposals and fee quotes, preparing draft documentation for review, communicating with the client, filing documentation at Companies House, and monitoring costs and billing.
  • Communicate with other departments and offices to ensure that agreed deadlines are met and significant issues are resolved in a timely manner
  • Maintain and develop client relationships, always providing excellent client service
  • Training and developing junior team members to enhance their skills
  • Assist with marketing and business growth opportunities, communicating with regional RSM offices and attending networking events as required
  • Develop and maintain an advanced level of technical knowledge through appropriate reading and courses, and to fulfil the CGIUK CPD requirements
  • Record time spent daily and ensure that time charged is consistent with the proper performance of the work
  • Always comply with RSM policies and procedures
  • Perform any other duties as are within the scope, spirit and purpose of the job, the title of the role and its grading, as requested

If you would like to be considered for this opportunity your qualifications, skills and experience must include:

  • Having completed or nearly completed the qualifying program to become an Associate of the Chartered Governance Institute UK & Ireland
  • Significant practical experience gained within a professional services firm or at group subsidiary level in industry
  • Good knowledge of Company Law, Company Secretarial Practice, Stamp Duty, and Anti-Money Laundering legislation
  • At least grade B GCSE Level English Language and Maths
  • Strong oral and written communication skills and the ability to develop and maintain strong relationships with clients
  • Strong IT skills, particularly Microsoft Word, Powerpoint and Excel
  • Experience of training others to enhance their skills
  • Ability to work on one's own initiative and as part of a team
  • Good organisation skills and ability to work to tight deadlines
  • Flexibility and adaptability
  • A willingness to travel to client's premises or other regional offices is required and knowledge of Diligent Entities company secretarial software is desirable but not essential as training can be provided.
