Job Description:

We are looking for a career corporate paralegal with strong company secretarial skills.


The paralegal will be mainly responsible for the corporate governance of Vitol group entities incorporated in the UK, Ireland and a few other jurisdictions.


  • Drafting various corporate documents such as, but not limited to board resolutions, shareholder resolutions, powers of attorney, etc.
  • Maintaining the corporate database and filing of corporate records, including but not limited to board resolutions, shareholder resolutions, board of director changes, annual reports, past and present directors and officers, etc.
  • Maintaining the statutory registers including the register of members.
  • Ensuring that statutory forms are filed promptly.
  • Providing directors and shareholders with notice of meetings.
  • Sending Companies House information about appointment or registration of Directors, and other relevant corporate information as required.
  • Ensuring that meetings such as the Annual General Meeting comply with company's governing documents and procedures.
  • Ensuring that publications such as annual reports and accounts comply with the company's governing documents and statutory requirements.
  • Coordinating and receiving board and committee signatures for documents and materials.
  • Creating documents related to new corporate entity formations.
  • Preparing KYC packs in response to counterparty duediligence.
  • Contacting notaries and embassies in order to arrange for notarisation/legalisation of documents.
  • Providing contract support for standard corporate agreements, such as nondisclosure and intercompany agreements.
  • Providing administrative support for documents and activities related to corporate restructurings, such as mergers, formations and dissolutions.
  • Working with other members of the corporate and legal teams on special projects and initiatives.
  • Providing backup for other members of the corporate team during absence.

Qualifications:


  • Minimum 3 years' experience in company law and company secretarial practice
  • Capable of prioritising and managing own workload
  • Able to work collaboratively as part of a team
  • Well organised and an eye for detail
  • Excellent written and oral communication skills
  • Ability to liaise with people across all levels of seniority.
