Job Description:

A leading UK retailer is looking for an astute 2-3 PQE commercial solicitor to join its Head office as a Legal Counsel assisting with general legal and corporate issues

The role

This is a fantastic opportunity for a 2-3 PQE lawyer to join this business' Head Office as a Legal Counsel to provide legal support to internal corporate and commercial stakeholders.

The role will work closely with the other members of the legal team.


The responsibilities:


  • Drafting, reviewing, and evaluating internal policies, and legal documents as may be necessary
  • Providing advice to the Group on the terms of the joint venture documentation
  • Collaborating with key internal and external stakeholders to ensure the smooth delivery of the joint venture pipeline work including liaising with external funders and their legal advisors
  • Drafting, reviewing, and negotiating standard form joint venture documentation to include share purchase agreements, joint venture agreements, and ancillary corporate documentation
  • Managing statutory books using Diligent software for the joint venture companies and dealing with postcompletion corporate matters
  • Assisting with company secretarial matters for Group companies including dealing with board changes, audit exemption filings, dissolutions, and other adhoc company secretarial work
  • Developing and/or updating relevant corporate templates
  • Organising and participating in necessary legal / compliance training for employees, for example covering directors' duties

Qualifications required:


  • Law degree (preferably UKqualified) with 23 years of PQE in a law firm and/or inhouse.

Experience required:


  • Negotiating standard corporate documents (prerequisite)
  • Experience in a leadership role, including supervision of junior lawyers (desirable but not essential)
  • Problemsolving and analytical skills
  • Attention to detail with a commercially pragmatic attitude
  • Able to identify and analyse core legal issues
  • Stays on top of regulatory changes and key case law
  • Possess a proactive 'can do' attitude
  • Comfortable working both collaboratively and independently within a hybrid working environment
