Job Description:


We are looking for an Assistant Company Secretary, to support the Company Secretary as she works in and around the board and manages the boards of the business' subsidiaries.


The Company Secretariat offers advice and guidance on matters of corporate governance at the very top of the organisation and this is a key support role to this critical function within a fast-moving and varied entertainment business.

Responsibilities:


  • Ensuring that all the statutory compliance requirements of the Group's UK operating companies are met.
  • Liaising with external providers and Rank's overseas offices in regard to overseas operating companies and compliance matters.
  • Assisting the Company Secretary in the organization and minuting in subsidiary board meetings.
  • Assisting the Company Secretary in the production of the Governance Report as part of the Group Annual Report and its verification process with the Group's external auditors as may be required.
  • Supporting the preparation of the Group's annual general meeting, and any extraordinary general meeting as may be required.
  • Ensuring the accuracy of the records held on GEMS for all Group subsidiaries and, in particular, maintaining the required statutory registers.
  • Assisting in the provision of responses to questions raised by, and reports requested by, the Group's majority shareholder.
  • Assisting the finance function in the subsidiary yearend programme, ensuring compliance with the Directors' Report, notes to the accounts and dealing with Directors' Interest statements; keeping an overview on the progress of accounts and filing with the Registrar.
  • Assisting the Company Secretary with all queries relating to dissentients.
  • Acting as the contact point with the Company's Registrars with regard to shareholder queries, payment of dividends, share allotments etc.
  • Acting as the point of contact for internal and external legacy queries.
  • Working with and providing supervision and guidance to Company Secretarial Assistant.

Qualifications:


  • Corporate Governance Institute (formerly ICSA) qualified.
  • A sound grasp of corporate governance issues and a commercial frame of mind.
  • Strong/established Co Sec skills
  • Wellstructured and analytical approach to reporting.
  • Excellent interpersonal skills and the ability to work well with people at all levels.
  • Attention to detail and a wellorganised approach to work.
  • The capability to work with numerical information, plus analytical and problemsolving skills.
  • A diplomatic approach and the confidence to provide support to highprofile company staff and board members.
  • Integrity and discretion when handling confidential information.
