An exciting opportunity has arisen for a
Company Secretary and Executive Assistant to join our Council Companies team.


This expanding team leads the delivery of the councils' commercial companies' interests predominately in the property and development sector and is also responsible for the management of commercial investment property portfolio.

About the role


Reporting directly to the MD/Director of Assets and Investments, you will deliver high quality, timely and effective company administration, executive support and governance to the companies and team.


This role will also provide executive support to the Group Managing Director of Gateway 14 Ltd and CIFCO Capital Ltd and Director of Assets and Investments, and more general administrative support to the wider executive team and Company Boards.


Key responsibilities

  • To undertake Company Secretary duties for the Councils' commercial companies ensuring Companies House records and company statutory books are kept up to date and that Board minutes and resolutions are properly recorded.
  • Ensure resolutions and annual returns are lodged as required with Companies House. These are legal obligations of the companies.
  • To maintain accurate financial data across all commercial companies and liaise with the Councils' finance team, accountants, suppliers and auditors as required. Run monthly bank reconciliations and make online banking transfers as and when required in accordance with company policy and delegation limits.
  • To raise purchase orders, process and validate invoices for payment, raising queries or discrepancies with suppliers as necessary. Monitor and plan expenditure and cashflow for the trading companies to ensure financial commitments, including loan repayments, can be met and take appropriate action to alert the MD to any potential cashflow issues.
  • To organise the effective and timely collation and distribution of correspondence and papers e.g. frequent Board meetings, maintain action logs and take accurate minutes of these meetings.
  • Sole responsibility for continuing to develop, support and manage an electronic based filing system held on an external, commercially managed collaborative webbased portal on Share Point.

About you


We are looking for a self-motivated, organised and enthusiastic person to undertake the Company Secretary duties and ensure the smooth running of the executive team functions that support the companies and their boards.

To be successful in this role you will need to demonstrate:

  • The ability to maintain commercial confidentiality and integrity.
  • Strong organisational skills and the ability to remain calm under pressure with experience in managing conflicting priorities to meet the needs and demands of the businesses.
  • Competence and Confidence to exchange complicated and complex information to a wide range of audiences both verbally and in formal written communication.
  • Knowledge and skills for maintaining basic bookkeeping records. This is an essential part of this role together with an understanding of company governance and legal requirements for companies.
