    Job Description

    Role Purpose

    The successful candidate will be a self-starter, have sufficient prior experience to be able to understand the business challenges, develop and present solutions and work with advisors to drive forward solutions. Working with accounting, legal, treasury, operational and sales staff is a key part of the role so a mature, collaborative and friendly manner is essential.

    In terms of qualifications, a chartered tax qualification would be preferred and / or a chartered accounting qualification with significant tax planning, M&A and TP experience.

    Responisilities and Profile

    Reporting to the VP Tax and working closely with the Director of Reporting and Compliance, the successful candidate will manage and drive forward initiative in the following areas:

    Transfer pricing

    • Co-ordination and preparation of transfer pricing documentation including Masterfile, local files and country specific TP documentation
    • Operational transfer pricing
    • Refine processes to create regular TP adjustments at legal entity level
    • work with accounting to agree TP calculations at Group and legal entity level.

    M&A

    • Provide support to BD group on organising and managing due diligence projects, highlight risks and set out mitigation options and recommendations, work with Legal to mark-up SPA and consider optimal acquisition structure or pre-disposal planning.
    • Work with reporting and compliance to understand ETR for business modelling purposes
    • Ensure legal agreements are in place to support business functions and transfer pricing
    • Legal entity rationalisation

    Financing

    Work with accounting to

    • rationalise inter-company loan positions
    • review thin cap positions and optimise debt / capital structure of legal entities
    • review options to minimise corporate interest restrictions
    • Foreign exchange management and mitigation
    • Ensure support for inter-company interest rates

    US Taxes

    • Manage external advisors for the preparation and submission of US Federal and State tax returns
    • Manage external advisors for the preparation of local tax returns and work with internal accounting function to optimise reports providing relevant information to external providers.
    • Manage the US nexus position regularly, and consider options for mitigating local taxes
    • Manage any US Local, State or Federal tax audits

    International Taxes

    • Management of Group withholding taxes, ensuring necessary residence certificates, W8-BENs, W-9 and other forms are in place
    • Manage global tax audits
