    The Company

    A multinational listed company is looking for a Deputy Company Secretary level individual in their London office.

    Position Overview:

    You will be responsible for providing crucial administrative and advisory support to the Board of Directors and senior management. You will play a pivotal role in ensuring that the company operates within legal and regulatory frameworks while facilitating effective communication between the Board, management, and shareholders.

    Key Responsibilities:

    • Provide advice on corporate governance best practices and ensure adherence to corporate governance principles.
    • Organize and facilitate board meetings, including preparing agendas, coordinating meeting logistics, and taking accurate minutes.
    • Maintain statutory books, registers, and records, ensuring compliance with relevant legislation and regulatory requirements.
    • Assist in drafting and filing statutory documents, such as annual returns, resolutions, and notices.
    • Manage the company's share register with all its subsidiaries.
    • Coordinate the execution and filing of legal documents, contracts, and agreements.
    • Keep abreast of changes in legislation and regulations affecting the company's operations and advise senior management accordingly.
    • Support the Board in the implementation of corporate policies and procedures.

    Qualifications and Skills:

    • Company Secretarial/governance experience in a similar role
    • Stakeholder management experience
    • ICSA qualification would be a plus for the role
    • Strong organizational and time-management skills, with the ability to prioritize tasks and meet deadlines effectively.
