- Provide advice on corporate governance best practices and ensure adherence to corporate governance principles.
- Organize and facilitate board meetings, including preparing agendas, coordinating meeting logistics, and taking accurate minutes.
- Maintain statutory books, registers, and records, ensuring compliance with relevant legislation and regulatory requirements.
- Assist in drafting and filing statutory documents, such as annual returns, resolutions, and notices.
- Manage the company's share register with all its subsidiaries.
- Coordinate the execution and filing of legal documents, contracts, and agreements.
- Keep abreast of changes in legislation and regulations affecting the company's operations and advise senior management accordingly.
- Support the Board in the implementation of corporate policies and procedures.
- Company Secretarial/governance experience in a similar role
- Stakeholder management experience
- ICSA qualification would be a plus for the role
- Strong organizational and time-management skills, with the ability to prioritize tasks and meet deadlines effectively.
