Position Summary
We are seeking to hire an Assistant company Secretary to join our London team.


Assist the Head of Company Secretarial and Governance in the Governance and Company Secretarial Department by providing support in the key areas shown below.


Key Responsibilities
Board and Committee meetings

  • Assist with the collation and distribution of Board meeting papers
  • Responsibility for the collation and distribution of Committee and subsidiary board meeting papers and for other meetings as required
  • Responsibility for the administration (including preparing the agenda) and minuting of Committee and subsidiary board meetings. Including minuting quarterly Committee meetings, subsidiary board and any other meetings as required
  • Responsibility for the communication and monitoring of action points arising from Committee and subsidiary board meetings
  • Collate and distribute the Committee and subsidiary board papers via the portal 'Diligent Board' and upload the action points onto 'Decision Focus'
Governance

  • Responsibility for running the Director Evaluations
  • Assisting the Head of Company Secretarial and Governance to run the Board and Committee Evaluations
  • Assisting the Head of Company Secretarial and Governance to onboard and train new Board and Committee members
  • Responsibility for maintaining uptodate skill matrices and arranging any Director training required, as indicated by the skills matrices
  • Drafting the Governance Manual and the ongoing maintenance of the Manual
  • Liaising with the regulators with regards to changes to the overseas branch managers
  • Assisting with the establishment of new legal entities / closure of existing legal entities
  • Assisting with regulatory filings to Lloyd's, the PRA and the FCA
  • Assisting with the annual review of the Committee Terms of Reference
  • Other Governance related tasks as required
Company Secretarial Duties

  • Responsibility for preparing a list of Board training topics (annually or more frequently if required) and for arranging quarterly Board training
  • Assist with the administration of the Conflicts of Interest where required
  • Arrange Powers of Attorney and notarisation and legalisation of documents
  • File regulatory returns (e.g. confirmation statements) and regulatory filings (e.g. director appointments/resignations) at Companies House
  • Update the statutory registers
  • Responsibility for arranging the annual schedule of Board and Committee meetings and setting the Corporate and Company Secretarial calendars
  • Maintaining Company Secretarial section of Intranet
  • Responsibility for KYC and other enquiries from all levels and departments across the business, including assisting with changes to CNA Hardy's bank accounts and tax registrations
  • Ensure that all up to date Company Secretarial/Policy and Procedural documents (including Terms of Reference, minutes, the Articles of Association) are uploaded to Diligent
  • Managing relationships with Company Secretarial service providers and seek to add value and make cost savings
  • Other standard Assistant Company Secretarial duties
Regulatory Compliance

  • Responsibility for the upkeep of the Management Responsibilities Map and implementing appropriate processes for its storage and upkeep
  • Responsibility for preparing regulatory filings for the Approved Persons and Key Function Holders under SMCR and for collating supporting documentation
  • Responsibility for initial fitness and propriety assessments and assisting the Head of Company Secretarial and Governance with the annual fitness and propriety assessments
  • Assisting with other regulatory filings for changes to Directors and Branch Managers and collating supporting documentation
  • Ensure regulatory filings are approved by the relevant Boards as necessary
  • Organise the change of signatories for the overseas branch offices
  • Provide Company Secretarial support to the branches as required
General

  • Comply with all applicable legal and regulatory requirements and ensure, at a level appropriate to the position, that appropriate measures are in place to ensure this compliance
  • Consideration of ways to improve the function and the levels of service provided
  • Building good working relationships with members of the Boards and Committees
  • Working with other departments as required and building relationships at all levels across the company
  • May perform additional duties as assigned

Skills, Knowledge & Experience

  • At least 4 years' experience in a Company Secretarial role
  • Company Secretarial qualification desirable
  • Prior experience in the insurance industry is beneficial (experience in the financial services industry will also be considered)
  • Sound knowledge of all relevant governance, regulatory and legal requirements applicable to the position
  • Demonstrate sound judgement and business acumen
  • Effective planning and organisational skills
  • Ability to provide innovative solutions to complex problems
