    We are seeking to appoint a Solicitor or Associate Solicitor to join an evolving and fast growing Commercial and Corporate team based in London, with significant international reach.

    This is an excellent opportunity to join a close-knit team and gain valuable experience tackling the complex legal and operational issues faced by clients within a variety of interesting areas. You can expect to work with local, national and international businesses specialising in industries such as technology, data analytics, and regulated industries such as gaming and fintech.

    Requirements:

    • Degree and LPC, or ILEX qualified
    • Qualified with between 1-3 years PQE with strong commercial/corporate experience particularly within technology, data, IP, M&A.
    • In-house experience is desirable to ensure an end to end client advice process.
    • Proven experience in managing and effecting transactional documentation for M&A transactions.
    • Excellent analytical and organisational skills.

    Responsibilities:

    • Provide legal advice on and carry out full and effective due diligence reviews on the buy side of M&A transactions worldwide in a variety of industry areas including fintech, gaming and technology.
    • As part of this, you will be required to engage and manage external legal counsel throughout the process of preparing and effecting all transaction documentation such as purchase agreements however should be fully able to and have experience in completing and effecting such transactional documents to allow for future business potential as the firm develops.
    • Drafting and reviewing a wide range of client instruments such as outsourcing, distribution supply of goods and services, general terms and conditions, NDA's, IP acquisition agreements, consultancy agreements, domain purchase agreements, commercial contracts, or marketing engagements such as development agreements, influencer agreements, endorsement deals or advertising agreements, as necessary.
    • Deal with company matters including but not limited to shareholder agreements, joint ventures, partnership agreements, or company formations through external formation agents.
