- Conduct comprehensive FDD on potential acquisition targets, analysing financial statements, historical performance, and key metrics.
- Prepare detailed FDD reports highlighting findings, risks, and opportunities to inform decision-making.
- Assist in offer negotiations and deal structuring, ensuring alignment with the business' investment criteria and objectives.
- Conduct valuations using various methodologies to assess target companies' worth and determine appropriate pricing.
- Manage relationships with vendors throughout the M&A process.
- Draft and negotiate the SPA, ensuring terms and conditions accurately reflect deal agreements and protect our interests.
- Analyse earnout structures and performance metrics post-deal to assess achievement and facilitate resolution.
- Support senior management in strategic decision-making and provide ad-hoc analysis and research as needed.
- Experience within a transaction Services team (doing Financial Due Diligence) at a reputable accountancy firm.
