Description

Lead on establishing, maintaining and delivering effective arrangements for the induction of new Directors (executive and non-executive) of the Trust and provide advice and support regarding the discharge of their duties.

Lead on drafting, implementation and analysis of the annual Board skills survey, reporting to Remuneration and Appointments Committee, ensuring the outcomes inform the Boards development plan and non-executive director succession plan.

Lead on maintenance, implementation and coordination of the Trust Board Development programme, as informed by best practice and the Trusts Board Skills survey.

Work with the Chair to maintain and update the Non-Executive Directors development and succession plan.


Act as the main point of contact for requests for use of the Trust Seal, advising the Company Secretary on compliance with Standing Orders, and produce the biannual report to the Board on use of the Seal.

Research, analyse, interpret and review legislative, regulatory and corporate governance developments that might affect the Trusts operations, ensuring the Board is briefed on these highly complex issues and has due regard to them when making decisions.

Support the development of the Trusts Annual Report, ensuring adherence to regulatory guidance, and that nationally set timescales are met.

Work on specific projects on behalf of the Company Secretary as required.


Support the Company Secretary in the management of the Board Assurance Framework and the assurance mapping process to identify and record the key sources of assurance from a number of crucial lines of complex information sources.

Analyse and interpret complex governance regulations and guidance and subsequently communicate such information in a form that promotes organisational understanding.

This will require a clear knowledge and understanding of complex specialist areas such as the Trusts Standing Orders and relevant legislation, and the ability to interpret them accurately to provide clear guidance to Directors at short notice on matters of importance.

Deputise for the Company Secretary in their absence and to represent the Company Secretary at meetings as required.

Represent the Trust at external forums and events.
