We are looking for a deputy Company Secretary.

You will manage the company secretarial/governance team (two direct reports) and you ensure that the Company Secretariat is well established within, and actively seek to build effective relationships across, the business.

Stolt-Nielsen Limited (SNL) is the specialist storage and transportation provider for bulk liquids: chemicals, clean petroleum, gases, vegetable oils, biofuels and oleochemicals.

What you will be doing

This role is a great opportunity to provide comprehensive company secretarial support within the legal and governance department, a small, collaborative team sat in SNL's London HQ.

As you report into the General Counsel, who will represent the Company Secretarial function in the board, this is a great opportunity for somebody who likes to share in depth experience and knowledge.


Your key responsibilities

  • Take the lead in the preparation of the corporate governance section of the annual report.
  • Oversee the preparation and management of the AGM, incl. production of AGM documents.
  • Take responsibility for ongoing general corporate secretarial duties, incl. statutory filings, compliance with local laws and regulations, and maintenance of corporate records and statutory registers of all group subsidiaries.
  • Maintain the group's entity management software (Diligent Entities).
  • Act as secretary for subsidiary boards where required, incl. preparing, attending, and minuting board meetings. Maintain the group structure chart.
  • Independently liaise with external regulators and advisers, incl. local cosec service providers. Take the lead in various corporate projects and transactions requiring company secretarial support, e.g. internal restructuring, M&A, setting up/closing subsidiaries.
  • Support and liaise with the tax and treasury teams in relation to intercompany dividends and intragroup funding processes (e.g. intercompany loans and equity injections)

Qualifications and skills

  • Law or governance degree.
  • CGI qualified.
  • 5+ years of experience in a company secretarial team (inhouse or professional services).
  • Excellent computer skills (G Suite, MS Office and preferably legal entity database, board meeting portal).
  • Able to perform well within strict deadlines and prioritize assignment.
