The role provides efficient and effective administrative support to the Trust's Corporate Governance team and will lead on allocated aspects of support to the Board of Directors, Council of Governors and their Committees/Groups: in particular the Trust's Board Committees.

This includes taking notes and minutes of meetings, organising meetings and events; filing and copying; managing correspondence; maintaining information or databases; obtaining stationery supplies, and undertaking other support activities.

The Corporate Governance Officer will be expected to:
Board of Directors and Committees/Council of Governors

  • Ensure the allocated Committees' governance cycles are uptodate and followed.
  • Draft the agendas for the allocated Committees for agreement with the relevant Chair, and, once approved, request papers. Distribute papers and upload to Admin Control (a board portal system).
  • Ensure that the meetings comply with the Trust's Constitution (including quorum) and governance cycles.
  • Accurately record and minute the allocated meetings, produce the minutes in a timely manner, circulate as appropriate and keep any action lists up to date.
  • Ensure that relevant papers are correctly formatted and published on the Trust's website.
  • Provide administrative assistance to the Non-Executive Directors of the Trust including arranging induction, training and booking attendees on relevant courses.
  • Deal with questions from Governors to the Board of Directors and action as required; maintain the log of these questions.
  • Coordinate and arrange the induction and training of Governors; book attendees on relevant courses.
  • Provide support with Governors' expenses claims and process Governors' expenses claim forms.
  • Support effective information flows with and between the Council of Governors, its subgroups and the Board of Directors.
  • Assist in Governors' interaction with the hospital (e.g., arrange visits, meetings).
Governance and Compliance

  • Arrange calendar of Board, Council of Governors and Committee meetings each year.
  • Develop and manage effective filing and administrative systems in line with the Trust's Information Governance policy and procedures.
  • Manage the registers of interests.
  • Assist in the production of the Trust's Annual Report.
  • Assist with the administration process of Governor elections as and when required.
  • Assist with the organisation, coordination and attendance at the Annual Members' Meeting as required as well as similar membership events.
General

  • Undertake the administration of Admin Control.
  • Respond to enquiries from members of the public, members and Governors.
  • Manage the Corporate Governance Outlook calendar.
  • Raise (purchase) orders for the Corporate Governance Team.
  • Manage Corporate Governance Team's databases, contact lists, tracking systems etc.
  • Proofread documents produced by the Corporate Governance Team prior to submission and/or publication.
  • Deputise for the Deputy Trust Secretary in times of absence, as appropriate.


The Corporate Governance Officer will also be expected to undertake any other duties appropriate to the grade as requested by the Corporate Governance Team.
