Head of Corporate Governance, Permanent, London, Hybrid (office based 2 days a week).
A key part of this role will be to continue the development of the department's work, in embedding best practice corporate governance across all aspects of the business.
In particular the continued embedding of high corporate governance standards and practices which support the Board's success factors in corporate governance.
To support the Company Secretary in the delivery of an exceptional board and committee support function, using industry benchmarking standards, to execute accuracy and quality assurance for the organisation.
The Head of Corporate Governance will provide governance support and advice to the business, executive committees and directorates, as appropriate, that enables the organisation to adhere to legislation, legal and best practice in a robust and complaint manner.
The role will work with colleagues to ensure confidence in complying with legislative, regulatory, constitutional and works to professional and ethical standards at all times, providing strategic guidance for evolving governance improvements to controls and mechanisms.
A key influencer in the organisation, they will work across all levels of the organisation to gain commitment to the wider Corporate Governance obligations and will create and promote a pragmatic and robust approach to meeting Company Governance requirements.
Key Accountabilities
- Team leader and key reporting line of Pay.
- Support the proactive development and delivery of the annual board forward agenda, including planning and arranging strategic and key Board events, e.g. Board Strategy Day, board training including but not limited to the Annual General Meeting (AGM)
- Ensuring key stakeholders and contributors submit documents and materials for board and executive committees in a timely manner, providing coaching and feedback on quality when required.
- Responsible for the project management and delivery of the Annual Report including drafting all relevant governance sections.
- Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action accordingly to support the organisation.
- Collaborates with stakeholders, internally and externally to share knowledge, experience and best practice on Pay.
UK Corporate Governance obligations and initiatives as appropriate., acting as a sounding board for all directors on matters of corporate governance.
- Develop improvements in Corporate Governance analytics and key metrics to support Pay.
UK Corporate Governance performance against key performance indicators.
Supervisory Oversight
Provide supervisory leadership to the team for Pay.
UK Board and associated Committee and Executive meetings to maintain industry standards and adopt best practice protocols ensuring that;
- Appropriate liaison and communication with members of the committee and internal/ external stakeholders is highly effective.
- Chairs of committees are supported to deliver initiatives and actions, appoint new members and handle the subsequent induction process.
- Committees operate in accordance with their Terms of Reference and all artefacts detailing actions, minutes and decisions made are accurate and produced within Governance standards and SLA timelines, including storage maintenance.
- Key stakeholders and contributors submit documents and materials for board and Executive committees in a timely manner, providing coaching and feedback on quality when required.
- As a leader within Pay.
UK acting as an ambassador and role model.
Ensure compliance with all Pay.
UK policies and procedures and complete required compliance training in a timely manner.
- Promote Corporate Governance protocols across Pay.
UK to build a way of working that is compliant, robust, resilient and mitigates potential reputational, brand or regulatory risk for the organisation and end users.
Skills, Experience & Qualifications
- ICSA qualified, Chartered membership, Fellow (FCG) is essential.
- Proven leadership of developing and implementing Company Governance frameworks, end to end change programmes, tools and policies with measurable impacts.
- Extensive knowledge and experience to support a progressive and heavily regulated environment for complex financial services organisations.
- Exceptional Company Secretary technical skills and able to lead, coach and influence the adoption of industry standards and best practice.
- Practical experience of UK company administration with a deep knowledge of Corporate Governance legislation, regulatory and legal codes.
