    We are looking for a Senior Legal Advisor/Legal Counsel to join our ever-expanding team. Ideally you will have 5+ years of experience in an in-house environment. This role is key in drafting, reviewing and negotiating commercial and government contracts for sales, service and purchasing operations of our business in the UK, Ireland, and Israel. You will also handle compliance inquiries relating to anticorruption regulations, ethical business practices, data protection and other regulatory matters and manage due diligence for agents and distributors in the assigned market. You will be the key interface to give legal advice on matters affecting the site and market and will represent legal as a member of the local site and market leadership teams.

    Duties and Responsibilities

    • Responsible for reviewing, drafting and negotiating a wide range of commercial agreements, including sales, services, purchase, software licensing, professional services, agency, distribution, teaming and confidentiality agreements.
    • Review terms and provide risk analysis and appropriate risk reduction strategies in connection with public and civil tenders. Brief senior management on risks and recommended courses of action.
    • Advise internal stakeholders on the legal implications of, and develop solutions for, matters which arise in the course of the company's business at the Hemel Hempstead site and in the UK, Ireland and Israel markets (e.g., regulatory compliance, contractual disputes and claims)
    • Represent legal on the local site management team, site crisis response team, market leadership team and provide legal advice on matters affecting the UK operating site.
    • Advise internal stakeholders on contract management s matters, including preparation of contract related communications, contract amendments, terminations and claims.
    • Participate in the development and maintenance of contract templates and ensure use of approved templates throughout the business.
    • Advise on data protection matters and participate in the Smiths Group Data Protection network, act as Divisional Data Protection Champion
    • Interface with outside counsel, as well as internal staff and corporate management.
    • Participate in preparing and conducting training programs.

    The Individual

    Education/Training: Law degree

    Experience:

    • Minimum of five years postgraduate experience; in-house legal department experience a plus.
    • Prior transactional experience, including the ability to draft and review contract terms and conditions.
    • A background in government contracts is desirable; experience with public sector contracting is a plus

    Knowledge/Skills:

    • Strong verbal and written communication skills, listening and influencing.
    • Good relationship building in a diverse environment
    • Ability to effectively present information and respond to questions from management, employees, customers and vendors.
    • Strong organizational skills: big-picture oriented but able to focus on the details also.
