The Team
The Global Legal mission is to provide legal support and advice with the goal of managing and mitigating legal risk for the Company and acting as a partner to our internal business clients supporting any legal needs that arise on a day to day basis.
Primary Responsibilities
- Provide internal legal advice for new and existing Barings investment funds across Luxembourg, Irish and UK platforms, including advice with respect to their design, development, launch, maintenance and regulatory considerations
- Build relationships with, and work alongside, business teams and other members of the Legal Team, as appropriate
- Liaise with external counsel to provide advice and assistance, and take responsibility for ongoing maintenance of those relationships
- Assist with drafting and negotiating fund documentation with investors and clients including investor side letters and investment management agreements
- Review fund documentation in relation to a variety of fund structures and asset classes including real estate, private debt, high yield, equities and emerging markets
- Act as an internal escalation point for highlevel legal issues and assist with the identification of general corporate, tax, risk, insurance, regulatory, legal and compliance issues
Qualifications
- Understanding of a variety of fund structures, and relevant regulation including UCITS, MIFID and AIFMD. Appreciation of ESG and investment management legal issues
- Experience in reviewing and drafting funds documentation including offering memoranda, investment management agreements and investor side letters preferred
- Strong interpersonal and communication skills that allow you to naturally develop and maintain effective relationships with various stakeholders at all levels of the organization and external professional contacts
- Superior organizational skills and the ability tomanage competing workloads of diverse matters in a timely manner
- Willingness to go beyond existing areas of expertise and work in new areas relevant to the
- Business particularly in a landscape of regulatory change
- Willing to support, accept and implement change, and become involved in organizational improvement
