    Company Secretary – Children's Charity

    London

    Hybrid working

    You will hold a strategic position at the heart of the governance operations supporting Trustees, Boards and Committees to ensure the proper conduct of the Charity in regard to ensuring compliance with the regulatory and statutory obligations.

    We are looking for someone who is a secretariat and governance specialist, who is passionate about good governance and holds a strong belief that governance is an enabler, providing a pragmatic, ethical, achievable, and relevant approach that embeds governance into the heart of business as usual.

    This role will report to the Director of Finance and Resources and also have reporting lines to the Chief Executive Officer, Chair of Trustees, and Chair of the Governance, Reputation and Risk Committee

    Suited to someone who is currently the Company Secretary of a Charity, Listed, or Financial Services organisation that manages a team and is motivated to progress the Governance.

    The role:

    • You will work closely with colleagues in the Senior Leadership Team and Charity Leadership Group and manage a team of 5 to deliver across the breadth of this role.
    • The team has a broad set of operational and functional specialists covering all areas of Governance and Compliance including legal, secretariat, data protection, internal audit, risk, procurement, whistleblowing and health and safety.
    • Management of the day-to-day and horizon scanning of the Governance function.
    • Organising Boards and Committees and producing high-quality papers, minutes and reports as applicable
    • Manage and oversee Data Protection policies and procedures.
    • Management of the corporate and charity law, internal audit, risk, insurance and other corporate services desirable.

    Experience:

    • Proven experience leading a governance, secretariat and compliance function in a comparable organisation.
    • Experience of organising Boards and Committees and producing high-quality papers, minutes and reports as applicable.
    • Experience of responsibilities / oversight of data protection in a comparable organisation.
    • The ability to convey complex issues verbally and in writing to internal stakeholders, senior leadership/management and Trustees.
    • Suitable knowledge of corporate and charity law, internal audit, risk, insurance and other corporate services desirable.
    • Chartered Governance Institute qualified desirable.
