    Senior Corporate Governance Specialist/Company Secretary

    London

    Up to £70k + Bonus & Benefits

    The ideal candidate will have a proven track record in a listed company or Board-facing role, with a strong preference for those with investment trust experience. Essential requirements include exceptional communication and influencing skills, meticulous attention to detail, and the ability to collaborate effectively within a dynamic team. CGI qualification or significant progress towards qualification, combined with demonstrable experience in a Company Secretary role, ideally within a professional services environment, is highly desirable.

    • Attend Board and Committee meetings, providing expert minute-taking and advisory services
    • Ensure strict adherence to all relevant Stock Exchange requirements, including listing rules, statutory and regulatory obligations, and Market Abuse Regulations (MAR)
    • Organize and manage annual general meetings and other key meetings, preparing all necessary notices and documentation

    We are seeking an experienced and proactive Senior Corporate Governance Specialist to join our dynamic and reputable corporate services team. In this role, you will be responsible for providing comprehensive support to the Boards and Committees of our diverse client portfolio, ensuring compliance with statutory and regulatory requirements, and delivering exceptional governance advice.

    Key Responsibilities:

    • Attend Board and Committee meetings, providing expert minute-taking and advisory services
    • Ensure strict adherence to all relevant Stock Exchange requirements, including listing rules, statutory and regulatory obligations, and Market Abuse Regulations (MAR)
    • Organize and manage annual general meetings and other key meetings, preparing all necessary notices and documentation
    • Prepare and file statutory submissions and returns on behalf of clients
    • Offer guidance on corporate governance best practices to clients across various sectors and stages of maturity
    • Draft and review non-financial sections of Annual Reports and Accounts, managing the filing process as needed
    • Mentor and support junior team members, fostering their professional growth and development
    • Maintain accurate corporate registers, Director details, and records for client entities
    • Prepare, coordinate, and release regulatory announcements on behalf of clients using relevant RIS portals

    Required Skills and Experience:

    • Proven track record in a listed company or Board-facing role, with investment trust experience preferred
    • Exceptional communication and influencing skills, with the ability to build and maintain strong relationships with stakeholders at all levels
    • Meticulous attention to detail and excellent organizational and project management abilities
    • Collaborative and team-oriented approach, with a commitment to supporting the development of less experienced colleagues
    • Familiarity with entity management software and experience working across multiple jurisdictions
    • Commercial acumen and a strong desire to contribute to the growth of the business
    • CGI (Chartered Governance Institute) qualification or significant progress towards qualification, combined with demonstrable experience in a Company Secretary role, ideally within a professional services environment
