And we focus on delivering outcomes that are more than just financial – by investing sustainably to build a better world.

    About the department

The Core Infrastructure team targets European mid-market opportunities across the energy, utilities, transport and digital infrastructure sectors. Our clients include pension funds, banks and insurance companies from the UK, US Japan and Europe.

    About the role

The role is for an experienced Transaction Support Director to join the Core Infrastructure Team. The candidate will require skills in structuring private infrastructure investments, particularly in identifying and managing legal risk both on transactions and, more generally, across direct and secondary infrastructure funds through a balanced approach to risk minimisation and finding creative, commercial solutions. Experience within the structuring team of a private infrastructure manager is therefore highly desirable.

The role will cover a wide range of tasks across the infrastructure investment spectrum primarily supporting origination, acquisition, asset management and disposal activities of the Core Infrastructure team from a legal and structuring perspective. It will also extend to advising on e.g. fund mandate compliance, equity syndication, restructuring and general corporate governance matters.

The Transaction Support Director will Support the continued growth and development of the Core Infrastructure business, by:

  • Providing legal and structuring guidance and oversight on all aspects of infrastructure investments in the UK and Europe including due diligence, transaction structuring, negotiation, and documentation
  • Building and maintaining effective relationships with internal stakeholders, external legal counsel, investors and other relevant parties to ensure compliance with legal and regulatory requirements
  • Identifying legal and regulatory risks associated with our investments and operations. Develop and implement strategies to mitigate such risks effectively while maximizing opportunities for value creation
  • Managing the team's legal workstreams and external legal service providers effectively and designing and implementing processes and systems to enhance the efficiency and effectiveness of legal operations
  • Promoting legal, compliance and risk management best practice
  • Skills and Experience:

  • Senior corporate lawyer with a proven track record of providing strategic commercial legal advice to senior management, ideally within the infrastructure or private equity fund sector
  • Ability to think strategically, analyse complex legal issues and provide practical solutions
  • Experience dealing with corporate governance issues and general corporate secretarial duties
  • Excellent negotiation, communication and interpersonal skills
  • Strong team player but with the ability to work independently, prioritise tasks and manage multiple projects simultaneously
  • Additional European languages may be advantageous.
