Your Role and Responsibilities

Role purpose:

C&N (Contracts & Negotiations) is one of the main organisations within the Global Legal Department of Kyndryl.

The C&N profession comprises two roles:

the Engagement Contract Negotiator role, which supports the business organisation and joins multi-disciplinary engagement teams in reviewing, drafting and negotiating IT services contracts with the prospects and clients of Kyndryl until their signing; and the Legal Contract Manager role, which takes over signed contracts from the Engagement Contract Negotiator role in order to keep them adjusted to the needs of both the Clients and Kyndryl through contractual amendments, requests for services, etc, as well as advise the account team about current or possible challenges.

Both roles include not only a comprehensive set of document related responsibilities (drafting, reviewing, comparing, editing, formatting, version management ) but also a guidance and advisory mission to help the stakeholders make decisions, assess and mitigate risks, consider options and alternatives, define a negotiation strategy and related tactics.

This includes opportunities to communicate with all levels of an organisation (within Kyndryl or clients), verbally and in writing, as well as preparing and presenting assessments, principles, suggestions, recommendations, statuses, plans, and more.


Responsibilities:


  • Provide commercial and contract guidance to the business organisations and other functions.
  • Draft and negotiate agreements which accurately specify the business relationships between Kyndryl and Clients, alliances, partners and other companies. It requires the ability to develop working relationships with key Clients, effectively represent Kyndryl, represent Clients within Kyndryl and conclude sound contract negotiations.
  • The ability to communicate effectively and negotiate with all levels (professional to executive) within Kyndryl, Clients, suppliers, partners and their external representatives is essential.
  • On international contracts, the role will require interfacing with teams in other countries and ensuring the agreement accurately reflects Kyndryl's capabilities in all countries within scope.
  • The position requires seniority and experience for the Accounts in scope for which leadership and traction are of the essence when interacting facetoface with senior executives of the Clients organisations (e.g., Head of Procurement) as well as many Client Unit leaders, Accounts Partners, and other senior leaders of Kyndryl.
  • This position further requires interactions with the Legal Department of Kyndryl which is also involved in certain contract negotiations, including when working on Client requirements that pertain to Legal's powers reserved.
  • The resource must be able to come to London (UK) when needed from time to time, in order to enable ad hoc meetings with Kyndryl Executives as well as engagement teams when they gather there, or to team up with the local C&N team when they meet there to mutually grow skills, exchange knowledge, foster team interactions, and share experience.
  • Meeting in person with Clients in London or other locations may also be necessary.
