    Coda Octopus Group, Inc ("CODA") is a NASDAQ Listed Company.

    It is an established supplier of technology solutions to the subsea market and also provides bespoke engineering solutions. It has operations in Edinburgh, Portland, Copenhagen, Orlando and Salt Lake City.

    Coda Octopus Group, Inc. now wishes to recruit a Group Chief Financial Officer (CFO).

    • The CFO has overall responsibility for the management of the small global Finance Team.
    • CFO takes an active role in the business management alongside the Group CEO and is a key leader in the business.
    • The CFO has overall responsibility for the preparation of the Company's Financial Statements including its quarterly and annual Securities and Exchange Commission (SEC) Reporting.
    • The CFO performs as the key functional interface to the Groups auditors and the various auditors of the Group companies and takes responsibility for the good standing of the Group in these audits.
    • Working through the staff of the Group companies the CFO ensures accurate accounting practice across the Group.
    • The CFO prepares reliable current monthly and periodic forecasting reports. The Group requires a consolidated forecast at the half year and at year end.
    • The CFO has responsibility for all tax matters across group and specifically detailed involvement in US tax affairs, working with external tax consultants and ensuring timely return of all state/federal/property returns.
    • The CFO is a key part of the Groups business planning process taking charge of the preparation of the Group budget.
    • The CFO is responsible for the supervision of the Financial Team of Coda Octopus Group, operating across the various companies in the Group.
    • The CFO is responsible for US payroll processing, management of benefits/401K programs and general HR for US employees.
    • The CFO is responsible for the oversight of controls and controls processes of the Group.
    • The CFO drives the Company's Financial Planning and Management.
    • The CFO performs risk management by analysing the organization's liabilities and investments and proposing solutions where appropriate.
    • The CFO controls and evaluates the Groups fundraising plans and capital structure.
    • The CFO ensures the Group cash flow is appropriate for the organization's operations.
    • CFO will take responsibility, in conjunction with the Group CEO, of the Company's M&A Strategy.
    • Participates with the Chief Executive Officer in meetings with, and outreach to, shareholders and potential investors. CFO will ultimately become the key interface with investors and is responsible for Quarterly and Annual Earnings Calls with Shareholders.
    • The CFO works with Analysts to get coverage for the Group.
    • The Group Finance team is lean and self-sufficient, however, the CFO will require to be hands on to assist with troubleshooting and to provide vacation cover when necessary.
    • The CFO works alongside the Chief Executive Officer to address any major unforeseen events or issues that may the Group Operations may encounter from time to time.

    Qualifications/Experience required for the Role

    Qualified Accountant (CPA or equivalent) of min 10 years standing.

    Previous experience of being CFO (or equivalent) in a small/medium public company.

    Accounting practice experience preferred.

    Public Company filing experience required.

    Multi Entity/International Group experience preferred.

    US GAAP/IFRS current knowledge required.

    US Tax regime experience required.

    No restrictions for travel to US if UK based or to UK/Europe if US based (travel is part of the role).

    Excellent communicator, confident at presenting to external investors and liaising with external professionals.

    Leadership skills are essential for the proper execution of this role.

    Working with Public Boards, presenting results to Board of Directors and Audit Committee.

    Good Drafting skills – for preparation of SEC Filings, like Form 10-K and Form 10-Q.
