    The Role Overview

    We are looking for a Spanish speaking Senior Paralegal/ Assistant Company Secretary to support the legal and corporate governance aspects of our growing business, a leading luxury boutique hotel and property group. Reporting to the Director of the Private Office, you will assist in providing high quality legal and company secretarial support for all entities within group, that will safeguard our reputation. The successful candidate will also work closely with other departments to advance the Group's long-term business objectives via promoting best practice.

    Responsibilities

    To assist in the delivery of company secretarial and governance services to Group entities that support the current and future business strategies of the Group including:

    • Draft and review 'business as usual' legal documentation for the Group, particularly agreements for new and existing hotel, food and beverage, rental contracts and real estate development projects.
    • Work closely alongside long-standing external counsel to co-ordinate and provide legal advice, or where appropriate engage external counsel to provide advice, to entities within the Group corporate structure.
    • Co-ordinate in the engagement of and oversight of external counsel to prepare, major contracts for the Group to ensure the Group's interests are adequately protected.
    • Provide clarification on legal language or specifications to everyone in the organisation.
    • Deputising for the Company Secretary of applicable Group entities when needed.
    • Assist in developing and implementing processes to support good corporate governance.
    • Take accurate minutes of board and committee meetings, and create plans to monitor dealing with issues and action points.
    • Maintaining statutory records of the Group's entities and overseeing the relevant statutory filings, along with managing the governance of said entities.
    • Support the various boards and their committees in fulfilling their responsibilities and following best practices.
    • Ensure that board members are presented with high quality, up-to-date information in advance of meetings and schedule meetings accordingly.
    • Be available to all directors for advice and services.
    • Give accurate and timely counsel to support the hotels and real estate executives or if appropriate, assist hotel management to seek necessary legal advice and support.
    • Collaborate with management to devise efficient defence strategies.
    • Assist in crafting internal governance policies and regularly monitor compliance.
    • Research and evaluate different risk factors regarding business decisions and operations.
    • Apply effective risk management techniques and refer matters on possible legal issues to internal/ external legal counsel.
    • Help establish and implement effective whistleblowing procedures.
    • Deal with complex matters with multiple stakeholders and forces.
    • Conduct your work with integrity and responsibility.
    • Maintain current knowledge of changes in legislation.

    Requirements and skills

    • English and Spanish speaking.
    • Ideally in possession of a good law degree and 3+ years' experience at a law firm in either a senior paralegal role or as a junior lawyer.
    • It would be advantageous in the candidate was in possession of a chartered company secretary/ governance qualification or working towards one (a STEP qualification is also advantageous) but not required.
    • Graduate level qualification, preferably at 2:1 or above.
    • Good working knowledge of the Companies Act 2006 and the drafting and review of company's Articles.
    • A comprehension of the influences of the external environment of a corporation operating in the luxury hospitality space.
    • Techniques for effective communication, relationship building and dealing with discord.
    • High degree of professional ethics and integrity
    • Sound judgement and ability to analyse situations and information.
    • Ability to interact in a dynamic, fast-paced international environment that is leanly-staffed.
    • Capacity to adapt to different cultures around the world.
    • Willingness to travel regularly.
