Company Secretarial Assistant

What can you expect?

  • The Company Secretarial Assistant works with the Secretariat to provide corporate governance advice and maintain the statutory compliance of the Marsh & McLennan UK and Ireland group of companies. The role primarily supports the Secretariat in ensuring that the companies, and their directors, fulfil statutory obligations under the Companies Act 2006, and comply with other relevant legal and regulatory requirements.
  • The Company Secretarial Assistant role will be responsible for a variety of matters across the areas below. There will be periodic rotation of responsibilities to ensure development and a depth of knowledge and experience across the team.

We will rely on you to:

  • Governance, Statutory and Regulatory
  • Providing support and oversight of boards, committees and additional forums as required, including arranging meetings, and collating and creating board packs (via Diligent Boards).
  • Support the Secretariat with the timely completion of statutory filings.
  • Maintain and update of statutory records and registers.
  • Draft resolutions for the approval of corporate actions for UK companies including to effect Director changes, share capital adjustments, transactional approvals, record administrative updates and confer Powers of Attorney.
  • Submit the relevant filings to effect the aforementioned corporate changes with the Registrar of Companies.
  • Transactional and Project Support
  • Support the Secretariat in providing governance support on intragroup projects including liquidations, cash repatriation, intragroup restructuring and capital reorganisations. Includes completing due diligence, facilitating approval processes, and providing support on post completion matters
  • Organise for documentation to be notarised and apostilled where required.
  • Provide information to internal and external partners, including auditors and regulatory bodies, and effectively handling queries.
  • Administration
  • Maintain corporate information on the legal entity data base (Diligent Entities).
  • Administer approval and facilitate execution of documentation requiring director signature.
  • Provide company secretarial information and documentation for due diligence, RFP and KYC requests.

What you need to have:


  • Educated to degree level or equivalent (law degree preferred)
  • Excellent written and verbal communication skills with an ability to tailor communication and deliver complex messages in a simple and creative way.
  • Flexible and able to adapt well to change in a fastchanging environment.
  • Operate in a collegiate and collaborative manner and have a proactive, selfmotivated, and personable approach with a focus on developing yourself and other members of the team.
