Corporate Governance Division

6 month contract inside IR35

Full time or part time working options available
The Role

The role arises due to a short-term need to implement changes to governance and related "ways of working", primarily at Board-level.

The work will involve project management and execution of workstreams in relation to these changes (e.g. establishing boardcommittees, revamping the Board's oversight of performance, strategy and business plan, communicating across the team), and other discrete workstreams across the Corporate Governance Division.


Alongside the Secretariat manager and Technical Specialist, they will work primarily with Board members, the office of the Chair, and the Central Secretariat team.


The key responsibilities of the post-holder will be:

  • Supporting the Company Secretary and Central Secretariat team in the project management and implementation of recommendations for changes in the corporate governance of the FCA, endorsed by the Board and sponsored by the incoming interim Chair.
  • Engaging with stakeholders at a senior level
  • Project management and delivery
  • Additional discrete corporate governance
The role will suit an agile individual who has considerable governance experience.

Background
The Central Secretariat sits at the heart of the Financial team and the Payment Systems Regulator (PSR). Part of the Corporate Governance Division, led by the Company Secretary.

The Division

Corporate Governance Division comprises the following functions:

  • Central Secretariat
  • Consumer Panel Secretariat
  • Decision-Making Committees Secretariat (DMCS)
  • Practitioner Panels Secretariat
  • Conflict of Interests Policy Team
The Corporate Governance Division support's the FCA's strategy by:

  • facilitating informed, efficient and transparent decision-making
- driving accountability and delegation in the FCA, and
- assuring compliance with best practice and relevant law

The Team
The Central Secretariat supports both the executive committees and their respective committees.

It is a fast-paced environment that provides an unparalleled insight into the how we work at the most senior levels.

We are at the start of a major set of workstreams to reform the operation of the Board. This role will help lead those and will report to the Director.

Skills and Experience Minimum
We're a signatory to the Government's Disability Confident scheme. This means that we

  • Extensive company secretarial and/or governance experience, including supporting boards and senior decisionmaking committees to ensure compliance with statutory requirements and best practice
  • Ability to maintain and protect information appropriately to comply with
Cyber & Information Security policies

Essential

  • Very strong written and verbal communications skills, and the ability to adapt style depending on audience
  • Strong organisational and prioritisation skills
  • Discretion and the ability to gain others' trust
  • Sound attention to detail can demonstrate taking pride in work and ensuring it is of the highest standard
  • Ability to respond positively to change, adopting a flexible approach to new ideas,
assignments and approaches

  • Demonstrated experience of delivering process improvement
  • Demonstrate use of buisness chamge methodoligies and people inpact
Desirable

  • Good understanding of the legal framework and governance structures in which the FCA operates.
  • An understanding of "what Boards need" and an ability to help guide business areas to deliver this.
  • Track record of "change" project management and
  • Knowledge of the legal framework in which decisions are made (e.g. FSMA, Financial Services (Banking Reform) Act 2013, Schedule of Matters Reserved to the Board, the CEO delegations, Decision Procedure and Penalties part of the Handbook, etc)
