Description

Responsibilities:


  • Maintain a robust governance framework for the bank's key governance documents and policies.
  • Carry out regular Q&A checks to ensure all committees are adhering to the governance framework.
  • Develop and maintain Company Secretariat processes and procedures.
  • Carry out all company filings and maintain the company books.
  • Maintain the director's register of interests and the Board's conflicts of interest register.
  • Review, upload, and circulate Board and Committee packs, ensuring all packs meet bank standards.
  • Minute all Board meetings, maintain the Board action log and forward plan.
  • Develop a learning and development programme for Board members.
  • Minute the Board's subcommittees (2). maintain their action logs and forward plans.
  • Minute the Executive & Risk committees. maintain their action logs and forward plans.
  • Ensure all committee terms of reference are up to date and accurate.
  • Provide guidance and oversight on what constitutes a good effectiveness review.
  • Assist the Company Secretary with the annual Board effectiveness review.

Job Offer

  • Hybrid working, 2 days per week in our Sutton office.
  • Contributory personal pension plan:
  • Minimum: Employee 2% and Employer 7%.
Employer matches contributions in 1% increments to a maximum of:
