Key responsibilities:


  • Acting as the Secretary for the Audit and Risk, Remuneration and Digital and Data Committees
  • Providing independent expertise and advice on procedures, corporate governance rules and governance best practice generally across the business and committees
  • Delivering and improving processes and procedures to enable the business and market industry groups and committees to effectively and efficiently fulfil their obligations
  • Implementing and coordinating the necessary internal controls to ensure that the company complies with market rules and market industry group and committee terms of reference
  • Reviewing and recommending changes to policies and procedures as and when required.
  • Supporting the Company Secretary and Head of Legal & Governance in ensuring they meet their requirements as a Limited Company by guarantee
  • Working closely with the Committee Chairs to ensure that Committee Papers are prepared to a high quality
  • Convening of meetings, and taking accurate minutes of meetings
  • Ensuring that all Committee paperwork is produced for all meetings in a timely manner
  • Developing and maintaining committee terms of reference and policy documents
  • Maintaining registers of Board and committee members and (where appropriate) committee member contracts/agreements

Experience required:


  • Excellent written skills and report writing capability, including the ability to write clear, accurate minutes
  • Technical Company Secretary experience or equivalent
- to build effective working relationships with a number of stakeholders

  • Effective communication and influencing skills
  • Able to work under tight schedules and consistently meet objectives
  • A good understanding of working within regulated industries and their associated governance frameworks is required.
