- Real estate investments: single asset and portfolio transaction (both acquisition and disposition) through sale of underlying physical assets or entity share sales;
- Real estate leasing agreements, lease renewal, eviction proceedings;
- Real estate financing, including but not limited to loan documents, inter-creditor agreements, loan syndication, loan reassignment, loan forbearance agreements, loan modification and restructuring;
- Joint venture agreements;
- Fund formation, fund management agreement, LP/GP agreements (with waterfall structure), co-investment and sidecar agreements;
- REIT formation and/or privatization;
- Merger and acquisition;
- General familiarity with the following areas of law: securities, regulatory compliance, cross-border transaction and investment structuring;
- Experience of providing sound advice on real estate, corporate finance, fund, and other related issues, and be an integral part of the commercial decision process;
- Experience in advising senior management on all aspect of corporate legal matters;
- Experience in developing and maximizing internal legal resources;
- Experience in development and management of outside legal counsel relationships and the supervision, review and oversight of outside legal counsel work product;
- Ability to anticipate legal issues or risks and to "see around the corner;"
- Excellent writing and verbal skills are essential, both in legal terms and in layman's terms;
- Ability to organize and prioritize many different competing projects, and should be able to shift quickly between subjects with the utmost discretion;
- License to practice law within the UK.

Qualifications:
The ideal candidate is a seasoned legal professional with a broad range of experience in real estate transactions, financing, fund formation and corporate law, with proven strong business acumen.
The candidate shall possess the following qualifications:
1.Strategic insight and critical legal skills in formulating legal and commercial positions, and in managing legal risks at corporate and at investment levels;
2.10+ years of combined experience with leading law firms and corporate in-house legal departments with good academic record and a demonstrated track record of sound judgment, integrity and business ethics. Prior experience in working with non-UK entities or international companies is helpful but not required;
3.General corporate law, including but not limited to business formation and compliance, corporate governance, general business contracts, labor and employment contracts and disputes, NDAs and IP, general insurance and corporate tax laws.
4.Extensive negotiation and documentation experience in the following areas:
5.General litigation, arbitration, and dispute resolution;

Responsibilities:
The General Counsel's duties include but are not limited to:
1.Counseling and guiding the strategic aspect of JD Property's business development and operation from a legal, compliance, and risk management perspective;
2.Being an integral part of the commercial decision-making process on all aspects of the companies' lines of business, including but not limited to real estate transactions, fund formation, M&A;
3.Participating in the definition and development of corporate strategies, policies, procedures and programs;
4.Serving as key legal advisor to senior management team and provide legal advice on all aspects of JD Property's business operations, including the following area: general corporate, cross-border transaction and investment structuring, real estate, joint ventures, financing/banking, M&A, fund formation, securities, regulatory compliance and complex litigation;
5.Managing the selection, retention, management and evaluation of all outside counsels. Providing supervision, review and oversight of outside legal counsel work products;
6.Participating in the negotiation of business/legal terms for JD Property's real estate investment and development projects and related lending and financing efforts;
7.Reviewing and negotiating principal legal documents such as term sheets, joint venture agreements, and loan documents;
8.Managing JD Property legal library and documentation process;
9.Managing and coordinate periodical risk assessment exercise and mitigation plans across JD Property departments;
10.Participating in the structuring and negotiation of cross-border investment fund formation efforts with capital partners and investor;
11.Structuring and managing JD Property's internal legal function to ensure efficient and effective delivery of legal support services;
12.Liaising with legal colleagues in the headquarter and London offices for our transactions and structures, and address any questions;
13.Providing legal and advisory support for JD Property's HR, administrative and financial control functions by reviewing and negotiating all vendor contracts and engagement letters.
