ROLE PURPOSE:

Impax currently has four Private Equity Funds that invest in renewable energy projects across Europe, primarily constructing wind farms, solar parks, and hydroelectric plants, two of which have reached the end of the fund lives.

The fixed term contract has come about to support the existing Fund Control team due to additional business demands. The role will report to a Director.

This role will manage the Fund structures, tax, and financial reporting of one of the funds which is 7 years into its fund life and has 20% of its commitments left to deploy.


KEY RESPONSIBILITIES:

Deal support and ongoing structure management

Exits deal support

  • Ensuring refinancing proceeds or exit proceeds, where applicable, are distributed to investors timely and accurately after they are received
  • Ensuring refinancing proceeds or exit proceeds are correctly accounted for and the coordinating the documentation for loan and interest repayments and dividend payments

On-going

  • Coordinating with asset management teams to ensure all funding is received as required
  • Ensuring all subsequent funding is accurately documented though loan drawdowns, share premium issuance and listings as required
  • Overseeing the reconciliation of the administrators loan schedules and portfolio company schedules

Financial reporting and tax returns for UK holding companies and funds

  • Overseeing the book keeping performed by the administrators of the UK and France based Funds/Feeder Funds
  • Preparing the financial reporting for the Fund general partners and teamcoinvestment vehicles
  • Overseeing and reviewing the preparation of tax returns for the UK holding companies

Fund reporting and administration

  • Coordinate the preparation and review of investor quarterly reporting
  • Coordinate payments for the fund and holding companies' expenses
  • Calculation of gross IRR for funds
  • Manage drawdowns, repayment and roll forwards of the Funds' leverage facility. Maintain the appropriate schedules and ensure they are recorded correctly by the administrators
  • Treasury management and cashflow forecasting for the Funds
  • Coordination of the Funds' rebate process
  • Coordinating with the administrators the investors drawdown and distribution notices
  • Coordinating with the depositary for their requirements and managing the Annex IV obligations
  • Be familiar with private equity fund structures
  • Have experience reviewing Fund quarterly and annual financial statements (UK GAAP or IFRS) and capital accounts
  • Be familiar with Fund KPI's e.g. IRR
  • Have experience working with third party administrators
  • Be familiar with Private Equity Fund mechanics; Drawdowns, Distributions, Commitments

SKILLS, KNOWLEDGE, EXPERIENCE:

  • Qualified Accountant working in Fund accounting/administration or audit
  • Experience preparing/reviewing Fund reporting
  • Experience preparing/reviewing UK GAAP or IFRS financial statements
  • Technical knowledge of Fund reporting areas; carried interest, IRR, valuations
