- Assist in all aspects of Private Equity transactions, including due diligence, drafting and negotiating transaction documents such as SPAs (locked box and completion accounts), shareholders' agreements, and management incentive plans (MIPs).
- Review and analyze ancillary documents including NDAs, engagement letters, disclosure letters, and diligence reports, ensuring accuracy and compliance with legal requirements.
- Aid in the structuring of private equity deals, providing input on structure papers, funds flows, and funding documents under the guidance of senior team members.
- Collaborate with partners and counsel in the team to communicate with clients, offering support in meetings and providing timely updates on transaction progress.
- Mentor and supervise junior team members on various aspects of Private Equity transactions, ensuring quality work and adherence to deadlines.
- Conduct legal research on relevant topics related to Private Equity transactions, staying abreast of market developments and regulatory changes.
- Qualified solicitor in England & Wales with up to 2.5 years PQE in a reputable law firm's Private Equity practice or similar common law jurisdiction.
- Solid understanding of Private Equity transactions, including familiarity with SPAs, MIPs, shareholders' agreements, and other relevant documentation.
- Excellent written and verbal communication skills, with the ability to convey complex legal concepts clearly and concisely.
- Strong organizational skills and attention to detail, with the ability to manage multiple tasks simultaneously in a fast-paced environment.
- Proactive attitude and willingness to take on new challenges, coupled with the ability to work effectively both independently and as part of a team.
