    Business Overview

    IFM's Commercial, Legal and Tax teams support the wider business and our investors by providing support relating to IFM's products and services, and the markets in which we operate.

    Specialist areas of expertise include structuring and executing infrastructure, debt and private equity transactions, structuring IFM's financial products and services, ensuring IFM complies with its duties to investors, negotiating contracts, managing IFM's corporate budget, establishing funds, negotiating investment management agreements and miscellaneous corporate legal matters, and providing strategic market commentary and analysis, as well as IFM Board and corporate secretarial activities.

    The Role

    The role involves the maximisation of net returns to investors in relation to investment transactions (greenfield and brownfield projects), asset management, product development and fund raising.

    The role involves integration with the investment and fundraising teams, with the Commercial Associate bringing legal and commercial experience primarily to transactions and asset management.


    Responsibilities include:
    Assist in the provision and coordination of non-investment services to IFM clients and for IFM products, including:
    Legal advice, negotiation and due diligence with respect to investment transactions
    Liaison with external legal, tax and audit providers
    Ensuring that the legal position and financial interests of IFM and IFM managed products are protected and advanced in all contracts, financial instruments and service agreements
    Contributing towards meeting statutory and regulatory compliance requirements for IFM managed products / clients
    Active participation in-company client/external audit/legal relationships
    Presents and gains acceptance of proposals and solutions
    Manage individual workstreams and small to medium size projects with appropriate oversight
    Responds to queries within policies and guidelines
    Delivers accurate and efficient transactional services within procedural guidelines
    Able to understand and influence and escalates issues as appropriate
    Provides leadership on legal and regulatory issues and contribute to continuous improvement
    Smooth interaction with internal customers and colleagues
    Demonstrates a high level of personal integrity

    Your Background and Experience
    At least a minimum of 4 plus years of relevant experience gained at a law firm or in-house equivalent

    Gained previous related experience in infrastructure project finance, EPC, offtake, construction agreements, shareholder and other equity documents; finance structures and documents; related tax and regulatory matters.

    A period of in-house or secondment experience in a relevant organisation advantageous
    Experience working on transaction/bid processes
    Qualified lawyer admitted to practice in the UK or Australia.
    Sound financial and commercial acumen
    Understanding of relevant legal documentation and concepts
    Strong verbal and written communication skills
    Ability to negotiate and influence key stakeholders
    Keen desire to understand the wider business context
    Possess a can-do, hands-on attitude
    Show strong initiative - ability to proactively identify issues and progress tasks
    Team player who is willing to assist others as/when required, and work collaboratively with the broader business
    Strong work ethic – ability to work to deadlines, under pressure and to manage and prioritise multiple tasks
